1. NAME: The
name of this Association shall be the Sierra Foothills Horseman’s Association,
hereinafter referred to in these by-laws as the Association.
2. PURPOSE:
The
objectives of the Association are:
a.
To promote and encourage participation among local youth
equestrian programs through scholarships, incentive programs, and educational
forums.
b.
To facilitate the spreading of information and items of common
interest to horsemen.
c.
To foster and perpetuate a spirit of good fellowships and
fraternalism among the members.
d.
To develop the interest and good will of the general public
towards horsemen and horses.
e.
To provide opportunities for horse enthusiasts to have fun and
enjoy horses (i.e., trail rides, fun shows and playdays,
overnight campouts, etc.).
f.
To provide support and encouragement to members to reach their
personal riding goals and to expand their equestrian knowledge and experience
of horses.
g.
To participate in local community events (i.e., parades, horse
shows, county fairs, Horse Expo, California State Fair, etc.).
h.
The Association shall be non-partisan regarding politics, and/or
religion.
i.
The Association shall be a non-profit community service
organization.
3. MEMBERSHIP:
a.
Membership shall be open to anyone wishing to support and
perpetuate the equine industry.
b.
There will be no discrimination due to race, color, religion, age,
or sex.
c.
Any person becoming a member of the Association shall comply with
all of its rules, by-laws, and decisions and shall be bound by the same.
d.
Membership in the Association is not transferable and shall cease
upon resignation or death of the member or upon non-payment of association
dues.

e.
A member may be suspended or expelled by a majority vote of the
total Board of Directors for failure to abide by the rules and regulations of
the Association, for unsportsmanlike conduct, or for an action which is opposed
or detrimental to the objectives or purposes of the Association; however, a ten
(10) day notice in writing shall have first been given by the Association to
the member so that he/she may be allowed a closed and private hearing with the
Board of Directors called for that purpose.
Upon termination of membership, there will be no refund of dues
in whole or pro-rated for the remainder of the membership year and he/she shall
have no other rights to interest in the property of the Association.
f.
Upon dissolution of the Association, any balance in the treasury
shall be distributed to a worthy bona fide tax-exempt charity (i.e., American
Red Cross, local 4-H group, riding
group for children with special needs, etc.) – to be decided upon by the
general membership of the Association.
g.
Each member shall receive a current copy of the By-Laws upon their
paid dues.
4. DUES:
$20.00 Family membership (married individuals and
all children under the age of 18 as of
January 1st) who reside in the same household.
$15.00 Individual adult membership (18 years and
older as of January 1st).
$ 5.00 Individual youth membership (17 years and
younger as of January 1st).
Membership
renewal dues are due December 1st and become delinquent on January 1st.
For
any new membership paid between November 1st and December 31st,
the membership will “roll over” and include the new club year (January 1st
through December 31st) and the membership renewal dues will become
due on December 1st of that next year.
A
$20.00 fee will be assessed for any check returned for non-sufficient funds.
The
Association year will start on January 1st and extend through
December 31st of each year.

5. MEETINGS:
General
membership meetings will be held once a month at a regular interval.
Association members’ year end awards presentation will be held at the end of the calendar year.
6. ELECTIONS:
All
nominations for the elected officers and board members (adult and youth) shall
be accepted from the general membership.
A separate nomination form will be attached to the published October
Association newsletter and also posted on the Association web site. Members can nominate themselves or other
members using the nomination form. The
form can be mailed back to the Association secretary or turned in at the
November general membership meeting. At
the November general membership meeting, the Association President will read
off the list of nominations for each elected position (officers and board
members). At this time, additional
nominations will be accepted from the membership.
The
election of the officers and board members (adult and youth) will be held at
the December general membership meeting.
The election shall be by a written ballot. For voting purposes (elections and club
matters), all Association members who are at least 12 years of age (as of
January 1st of the upcoming calendar year) shall be encouraged and
entitled to vote. Each voting member
shall have one vote. Voting by proxy
shall not be allowed.
An
officer or board member shall be deemed to be duly elected when he or she
receives a majority of the ballots (votes) cast at the December general
membership meeting.
The
newly elected officers and board members shall take office on January 1st
in the year following the election.

7. OFFICERS:
The elected
officers of the Association shall be the President, Vice-President, Secretary,
and Treasurer – all one year terms. The
elected officers must be members of the Association and shall have been an
active member of the Association for at least six months prior to being
elected. The elected officers must be at
least 18 years of age as of January 1st for the year office will be
held.
Any officer
who misses three consecutive monthly general membership meetings and/or two
consecutive board of directors meetings (not in attendance), may be discharged
from office. The vacant office will then
be filled from the general membership for the duration of the term with the
exception of President, which would be filled by the Vice-President, and the
Vice-President position would then be filled from the general membership.
A.
President: The president shall be the chief executive
officer of the Association and, subject to the control of the Board of
Directors, shall have general supervision, direction, and control of the
business and officers of the Association.
The President shall preside at all meetings of the Association and the
Board of Directors. He/she shall sign
all written contracts authorized by the Board of Directors, and have the
general powers and duties of management usually vested in the office of
President of the Corporation. He/she
shall have such other powers and perform such other duties as may be prescribed
by the Board of Directors or the By-Laws.
B.
Vice-President: In the absence or disability of the
President, the Vice-
President shall perform the duties of the President, and, when so
acting, shall have all the powers and be subject to all the restrictions of the
President. The Vice-President shall
perform a yearly inventory (in writing) of all Association items. The Vice-President shall have other powers
and perform other duties as may be prescribed by the Board of Directors.
C.
Secretary: The Secretary shall keep the minutes of each
general membership meeting and each board of directors meeting, and maintain a
book of all minutes. He/she shall see
that all notices are duly given in accordance with the provisions of these
by-laws. In general, the Secretary shall
perform all duties incident to the office of secretary. The Secretary shall
have other powers and perform other duties as may be prescribed by the Board of
Directors or by the by-laws.

D.
Treasurer: The Treasurer shall keep and maintain, or
cause to be kept and maintained, adequate and correct accounts of the
properties and business transactions of the Association. The Treasurer shall keep regular books of
accounts and shall submit them together with all vouchers, receipts, records,
and other papers to the general membership and/or the Board of Directors. A quarterly treasurer’s report will be
distributed to the general membership. The Treasurer shall deposit all monies
and other valuables in the name of, and to the credit of the Association, with
such depositories as may be designated by the Board of Directors. The Treasurer shall countersign all checks,
drafts, and notes of the Association and shall pay bills duly approved by the
Board of Directors and/or the general membership. There may be an independent review performed
periodically upon request by the Board of Directors. The Treasurer shall have other powers and
perform other duties as may be prescribed by the Board of Directors or by the
by-laws.
8. BOARD OF DIRECTORS:
The
Board of Directors shall be comprised of:
the elected President,
Vice-President, Secretary, and Treasurer –
all one year terms.
Three additional adult board members will also be elected and must be
members of the Association
and shall have been an active member of the Association for at least six months
prior to being elected. All three
elected adult board members must be at least 18 years of age as of January 1st
for the year office will be held. The
adult board members term is one year.
Two additional youth board members will also be elected and must be
members of the Association (either as part of a family membership and listed on
the membership application as such, or as a paid individual youth membership)
and shall have been an active member of the Association for at least six months prior to being
elected. Both of the elected youth board
members must be at least 12 years of age as of January 1st for the
year office will be held. The youth
board members term is one year.
Any board

9. AMENDMENTS OF BY-LAWS: These By-Laws may
be amended, repealed, or new
By-Laws adopted by a majority vote of the general membership in
attendance at a regular or special meeting.
Thirty (30) days written notice shall be given to the Association
membership stating the proposed amendments, before such amendments may be
brought before a regularly constituted general membership meeting.
10. PARLIAMENTARY AUTHORITY: Robert’s Rules of
Order, revised, shall govern the Association in all cases to which they are
applicable and in which they are not inconsistent with the By-Laws or special
rules of order of the Association.
11. YEAR END AWARDS: The year end awards program will run from
November 1st of the current year through October 31st of
the following year. Example: November 1, 2003 through October 31,
2004. Any adult or youth member (either
as part of a family membership and listed on the membership application as
such, or as a paid individual adult or youth membership) is eligible to compete
for a year end award if the following requirements are met:
a.
Must compete on a horse, pony, or mule
of any breed (animal does not need registration papers).
b.
Each different horse/rider combination
will accumulate points separately.
c.
Association member must be in good
standing in order to be eligible for a year end award(s). Criteria as follows:
(1) Member must attend a minimum of five monthly
general membership meetings during the specific year end awards program
timeframe ---specifically, between November 1st of current year and
October 31st of the following year (does not need to be five
consecutive meetings). Meeting
attendance (must be at the meeting for a minimum of 45 minutes – approximately)
to be verified by signing of the attendance roster. It is each member’s responsibility to insure
that he/she signs such list.

Member must earn at least 100 points by working at a fundraising
function(s) such as: all breed stallion
parade, horse show, poker ride, etc.
OR
Member must get paid sponsors equal to $200.00 (or donation of merchan-dise of similar monetary value) for a fundraising activity (example: sponsors or donations for the horse show, donations for the poker ride, etc.).
(f) In order to be eligible for any year end
award, the same horse/same rider combination must earn points at a minimum of
three separate horse shows per each separate category (i.e., halter classes at
three separate horse shows, or western riding classes at three separate horse shows, or gymkhana
classes at three separate gymkhanas, etc.).
Points
will be awarded and tabulated as per the Sierra Foothills Horseman’s
Association point system (attached).
The
Year End Awards Program will run from:
November 1st of the current year through October 31st
of the following year. ALL “YEAR END
AWARDS PROGRAM RESULTS FORMS” MUST BE COMPLETED, SIGNED, AND SUBMITTED TO THE
ASSOCIATION POINTS CHAIRPERSON PRIOR TO NOVEMBER 5th (at the
conclusion of the year end awards program timeframe – 12 months later).

The
Board of Directors will hold a meeting in October (or as soon after the final
fundraising event of the year) for the year end awards program that is just
ending. At this meeting, the board
members will discuss and decide a dollar amount for the year end awards for
that year. The board members will take
into account the amount of money in the Association’s account, how successful
the fundraising functions for the year have been (i.e., the all breed stallion
parade in January, the open horse show in the spring, etc.), how many
Association members are eligible for year end awards, etc. The board members will decide on either a
flat maximum amount to split amongst all eligible year end awards, or a maximum
dollar amount per each award. The information
will be reported at the next monthly general membership meeting and printed in
the Association newsletter and/or Association minutes.
It
will be the responsibility of the Association points
chairperson to tabulate the points at each approved event (i.e., horse show,
gymkhana, etc.) for every Association member who turns in a “Year End Awards
Program Results Form”. The Association points chairperson will supply current points standings to
the editor of the newsletter at least quarterly. In the event no newsletter is published,
current points will be read at the regular meetings at least quarterly. Members will be sent a copy of their earned
points for the award program year no later than November 10th of the
current year. In the event of a
complaint of rules or questions, a written report must be made and submitted to
the President by November 15th.
If there are no written objections by November 15th, all
points will be considered final and year end awards will be ordered. The awards will be presented at the year end
awards presentation.

Listed below are the specific classes that will count for each of the four divisions: all open classes, age divisions of rider and/or horse (examples: 17 years and under versus 18 years and over --- or 13 years and younger, 14-17 years, and 18 years and older), sex of horse divisions (example: fillies/mares, geldings, colts/stallions), warm-up classes, color class versus non-color class, walk/jog or walk/trot classes if not specified as being first year green, novice, etc. NOTE: If you show in a class that is not listed above, it will not count.
NOTE: First year green, first/second year green, novice (rider and/or horse), non-pro, amateur, etc. type classes WILL NOT COUNT. In addition, 35 years or 39 years and older classes will not count - unless the class sheet has that same class broken down as EXAMPLE: one class for 18-34 years and another class for 35 years and older. You cannot exclude a SFHA member from the competition because they are a professional, an experienced rider, riding a finished show horse, or younger than the “Jack Benny” age divisions (35 years or 39 years and older classes for example). In order for a class to count for your age division, all SFHA members would have an equal opportunity to show in that same class.
